These Terms and Conditions ("Terms") govern your access to and use of the services provided by Align Meet Solutions Timo Behrens, an Einzelunternehmen (sole proprietorship) established in Germany, owned by Timo Behrens (“Velocitie”, "we," "us," or "our") and operating under the brand name “Velocitie”, including our website (www.velocitie.com), platform, tools, and related services (collectively, the "Services"). By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

1. Scope of Services

Velocitie provides AI-driven solutions for conducting, recording, transcribing, and processing video interviews, as well as automating content creation for recruitment, marketing, or other purposes. The Services may involve third-party tools or our proprietary platform to facilitate recording, transcription, AI analysis, and content generation.

  • Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.
  • License: We grant you a non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal purposes, subject to these Terms.

2. User Responsibilities

  • Account: To access certain features, you may need to create an account or provide information for interview coordination. You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
  • Content: You are solely responsible for the content you upload, record, or submit through the Services ("User Content"). You warrant that your User Content complies with applicable laws and does not infringe on third-party rights, including intellectual property or privacy rights.
  • Prohibited Uses: You may not use the Services to:
    • Violate any laws or regulations, including EU GDPR or German data protection laws (e.g., Bundesdatenschutzgesetz - BDSG).
    • Upload or share content that is unlawful, defamatory, discriminatory, or harmful.
    • Attempt to reverse-engineer, hack, or interfere with the functionality or security of the Services or any tools used.
    • Use the Services for any purpose not expressly permitted by these Terms.

3. Third-Party and Proprietary Tools

Velocitie may use third-party tools or our proprietary platform to facilitate recording, transcription, processing of interviews, and content creation. By using the Services, you acknowledge and agree that:

  • Processing: Third-party providers or our platform may process User Content, including personal data, to deliver the Services (e.g., recording, transcription, AI analysis, or content generation).
  • No Liability: Velocitie is not responsible for the performance, accuracy, or reliability of third-party tools. We do not endorse or warrant third-party tools or content.
  • Data Protection: We ensure that third-party providers and our platform comply with GDPR and applicable EU/German data protection laws through appropriate contractual agreements, such as Standard Contractual Clauses (SCCs) for data transfers outside the European Economic Area (EEA). 4. Data Protection and GDPR Compliance

Velocitie is committed to protecting your personal data in compliance with the EU General Data Protection Regulation (GDPR) and German data protection laws (e.g., BDSG).

  • Data Controller and Processor: Velocitie acts as a Data Controller for personal data submitted through the website or Services and as a Data Processor for personal data provided by clients using our Services.
  • Consent: By using the Services, you consent to the collection, processing, and storage of your personal data as described in our Privacy Policy. For interviews, you confirm that you have obtained explicit consent from all participants for recording, transcription, and processing of their personal data, in compliance with GDPR Article 6(1)(a).
  • Data Rights: Under GDPR, you have rights to access, rectify, erase, restrict, or object to the processing of your personal data, as well as the right to data portability. To exercise these rights, contact us at privacy@velocitie.com.
  • Data Transfers: Personal data may be transferred to third-party providers or processed by our platform outside the EEA. We use SCCs to ensure lawful data transfers in compliance with GDPR Chapter V.
  • Data Retention: We retain personal data only as long as necessary for the purposes outlined in these Terms or our Privacy Policy, or as required by applicable law.
  • Data Security: We implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or destruction, in accordance with GDPR Article 32.

5. Intellectual Property

  • Ownership: All intellectual property rights in the Services, including third-party tools (as licensed), our proprietary platform, software, AI models, and content generated by Velocitie (excluding User Content), are owned by Velocitie or its licensors.
  • User Content: You retain ownership of your User Content (e.g., videos, audio, text, or other materials you upload, record, or submit through the Services). By submitting User Content, you grant Velocitie, and its third-party providers or platform a worldwide, non-exclusive, royalty-free, perpetual license to use, process, store, reproduce, and modify your User Content solely to provide the Services. Additionally, if you have publicly posted User Content on LinkedIn, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such content on our website (www.velocitie.com) or other channels (e.g. LinkedIN) for promotional purposes. You can opt-out of this by informing us via contact@velocitie.com.
  • Generated Content: Content created by the Services (e.g., edited videos, transcriptions, or AI-generated materials) may be subject to shared ownership, depending on applicable agreements. You may use generated content for your intended purposes, provided it complies with these Terms and applicable laws, including EU/GDPR and German data protection laws.

6. Compliance with EU and German Laws

  • Legal Compliance: You are responsible for ensuring that your use of the Services complies with all applicable EU and German laws, including but not limited to GDPR, the German Commercial Code (Handelsgesetzbuch - HGB), and the German Civil Code (Bürgerliches Gesetzbuch - BGB).
  • Sanctions and Trade Restrictions: You warrant that you are not a Sanctioned Party under EU, UN, or other applicable sanctions regimes and that you will not use the Services in violation of trade restrictions (e.g., for prohibited military purposes or in embargoed countries).

7. Payment and Fees

  • Fees: If applicable, you agree to pay all fees for the Services as outlined in your subscription or service agreement. Fees are non-refundable except as required by law.
  • Taxes: All fees are exclusive of applicable taxes (e.g., VAT). You are responsible for paying any taxes applicable to your use of the Services, in accordance with German and EU tax regulations.

8. Limitation of Liability

  • No Warranty: The Services, including third-party tools and our proprietary platform, are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose. Velocitie does not guarantee the accuracy, completeness, or reliability of the Services or third-party tools.
  • Liability Cap: To the fullest extent permitted by law, Velocitie’ total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by you for the Services in the preceding 12 months.
  • Exclusions: Velocitie is not liable for indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities, even if advised of the possibility of such damages. This limitation does not affect liability that cannot be excluded under German law (e.g., for gross negligence or willful misconduct).

9. Indemnification

You agree to indemnify and hold Velocitie, its affiliates, and third-party providers harmless from any claims, losses, or damages, including legal fees, arising from your use of the Services, your User Content, or your violation of these Terms or applicable laws.

10. Dispute Resolution

Any disputes arising from these Terms or the Services shall first be addressed amicably through good-faith negotiations between the parties. If direct resolution is not possible, the parties agree to pursue mediation outside of court, conducted by a neutral mediator in Germany, before resorting to litigation. If mediation fails, disputes shall be resolved exclusively in the courts of Berlin, Germany, unless otherwise required by EU consumer protection laws (e.g., for EU residents to bring claims in their home jurisdiction).

11. Termination

  • By You: You may stop using the Services at any time by discontinuing access or deleting your account (if applicable).
  • By Us: We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without cause, and with or without notice, including but not limited to cases where you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use violates applicable laws.
  • Effect of Termination: Upon termination, your license to use the Services ends, and you must cease all use. Provisions regarding intellectual property, liability, indemnification, and data protection survive termination.

12. Modifications to Terms

We may update these Terms at any time. Changes will be effective upon posting to our website (www.velocitie.com). Your continued use of the Services after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Services, as required by GDPR.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Berlin, Germany, unless otherwise required by EU consumer protection laws (e.g., for EU residents to bring claims in their home jurisdiction).

14. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Velocitie regarding the Services.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger or sale.
